Terms of Service

1. Introduction

These terms govern your use of VAT Margin (“the Service”), a SaaS platform for UK VAT Margin Scheme reconciliation and compliance, operated by Gadgets and Mobile Repair Ltd (“we”, “us”, “our”). By creating an account or using the Service, you agree to these terms.

2. Account registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access.

3. Subscription and billing

  • The Service offers a 14-day free trial and paid subscription plans billed monthly in GBP.
  • During the Early Access period, founding members who subscribe receive a discounted monthly rate. This rate is locked in for the lifetime of the subscription and will not increase for as long as the subscription remains active.
  • Payments are processed by a trusted third-party payment provider. You agree to their terms when making a payment.
  • Subscriptions renew automatically. You may cancel at any time through the billing portal; access continues until the end of the current billing period.
  • We reserve the right to change pricing for new subscribers with 30 days' written notice. Existing Early Access subscriptions will honour the locked-in rate.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to gain unauthorised access to other users' accounts or data.
  • Upload malicious files, attempt to exploit vulnerabilities, or interfere with the operation of the Service.
  • Resell or redistribute access to the Service without our written consent.

5. Your data

You retain ownership of all data you upload or import into the Service. We do not claim any intellectual property rights over your data. We process your data solely to provide the Service, as described in our Privacy Policy.

You are responsible for ensuring you have the right to upload and process the data you provide. You are responsible for maintaining your own backups.

6. Third-party integrations

If you connect a third-party accounting platform, you authorise us to access your accounting data via that platform's interface. You may disconnect at any time from the Integrations page. Disconnecting revokes our access to data from that platform.

7. VAT calculations disclaimer

The Service provides tools to assist with VAT Margin Scheme calculations. However, we are not accountants or tax advisors. The calculations provided are based on the data you supply and the standard Margin Scheme formula (margin / 6). You are solely responsible for verifying the accuracy of all VAT calculations and for filing correct returns with HMRC. We accept no liability for errors in VAT returns resulting from use of the Service.

8. Service availability

We aim to provide a reliable service but do not guarantee 100% uptime. We may perform maintenance or updates that temporarily affect availability. We will endeavour to give reasonable notice of planned downtime.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from your use of the Service is limited to the amount you have paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss.

10. Termination

You may close your account at any time. We may suspend or terminate your account if you breach these terms, with reasonable notice where possible. On termination, we will delete your data in accordance with our Privacy Policy.

11. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the updated terms.

12. Data protection

We process personal data in accordance with our Privacy Policy. Where we process business data on your behalf as a data processor, the terms of our Data Processing Addendum apply and form part of these Terms.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
